cleverly takes over Complori

Berlin-based EdTech company cleverly announces the acquisition of Complori. With the acquisition, cleverly is expanding its existing offering to include playful learning formats for programming and financial education, in which Complori specializes. The result is a comprehensive educational portfolio that supports children and young people holistically, at school, digitally and personally.
A holistic approach to future education
The integration of Complori creates a unique learning ecosystem: cleverly has been offering individual 1:1 online tutoring and mentoring in subjects such as mathematics, German or English for years, combined with topics such as self-confidence, learning motivation and concentration. Complori complements this offering with interactive group courses on digital skills for the future, such as programming or financial literacy.

Investors support the strategy with new investment
The existing investors of both companies are participating in a new financing round to strengthen the joint growth strategy. In addition to Capnamic, the VC funds Rubio Impact Ventures, Speedinvest, Educapital and Sparkmind are also participating.
We see this acquisition as the logical response to the current market situation. Complori and cleverly complement each other perfectly - the combined company has the best prerequisites for sustainable growth.

The takeover was preceded by two capital increases through the issue of new shares. The share capital was increased to 82,794 euros. One of the largest shareholders is Capnamic Ventures Fund III GmbH & Co. KG from Cologne.
Legal support from HEUKING
cleverly was legally advised on the transaction by a team from the law firm HEUKING Kühn Lüer Wojtek led by Dr. Patrick Müller, LL.M. (University of the West of England, Bristol). The team also included Mark Rossbroich, LL.M. (King's College London), Ilona Schütz and Laura Jochem, LL.M. (University of East Anglia, Norwich). HEUKING regularly advises start-ups and venture capital investors on financing rounds and M&A transactions.
Complori
Complori (codary GmbH) was founded in Berlin in 2020 by Amanda Maiwald, Nikolaj Bewer and Antonia Schein. Since then, more than 60,000 children have acquired digital skills through play. In age-appropriate live online courses with certified coaches, they learn topics such as programming or financial literacy. They develop skills such as problem-solving, creativity and critical thinking.
