Creditors of windeln.de SE approve insolvency plan

Investors signal interest: Takeover offer for windeln.de SE accepted - prospect of debt relief and continuation under new company name. Restructuring expert secures 44% payout.

Munich - In a major step for the future of windeln.de SE, the creditors' meeting has unanimously approved the insolvency plan. Ivo-Meinert Willrodt from PLUTA Rechtsanwalts GmbH, who drew up and submitted the restructuring plan together with attorney Wolfgang Bernhardt, received the creditors' approval. This plan, submitted by the insolvency administrator in accordance with section 218 (1) sentence 1 InsO, significantly improves the situation of the creditors.

Insolvency ratio of almost 44

Under the plan, non-subordinated insolvency creditors are expected to receive an insolvency ratio of 43.946%, compared to a possible ratio of 39.515% without approval of the plan. This step not only enables creditors to be better satisfied, but also allows the company's debt to be reduced and potential takeovers by investors.

We have achieved an insolvency ratio of around 44% thanks to the excellent cooperation of all parties involved. Creditors can expect the first distribution in the first half of 2024.

Brand extension under new company name

Investors such as MERIDIANA Capital Group GmbH, MERIDIANA Blockchain Ventures SE, SEASIDE Capital Markets GmbH, NEKO Securities Ltd. and Anlagenwert Hamburg GmbH have already submitted binding offers for the acquisition of all company shares. They plan to continue the company under a new name and to retain the existing brand portfolio such as DIMBO, Max & Lily, NAKIKI, DARLY and the core brand "Alles für Dein Baby".

Insolvency proceedings against windeln.de SE were opened on January 30, 2023 due to insolvency and over-indebtedness. Willrodt was appointed as insolvency administrator and was previously granted the position of provisional insolvency administrator by resolution dated November 7, 2022. Attorney Wolfgang Bernhardt is supporting him in the proceedings. With a positive outlook for a better satisfaction of creditors and the continuation of the company under new investors, there is hope for a successful future for the company and its brands.
