Lilly is acquiring AtaiBeckley for up to $3.8 billion and is focusing on new treatments for treatment-resistant depression

Lilly is acquiring AtaiBeckley and significantly expanding its neuroscience pipeline. The focus is on a novel therapy for treatment-resistant depression.

The U.S. pharmaceutical company Eli Lilly is acquiring the biotechnology company AtaiBeckley. The initial purchase price is approximately $2.8 billion. In addition, shareholders may receive up to an additional $1 billion in performance-based milestone payments. This brings the potential total value of the transaction to $3.8 billion.

With this acquisition, Lilly is strengthening its neuroscience pipeline and further expanding its commitment to innovative therapies for severe mental illnesses.

Focus on Treatment-Resistant Depression

At the heart of the acquisition is BPL-003, AtaiBeckley’s most advanced program. It is a synthetic form of the active ingredient 5-MeO-DMT, administered as a nasal spray and specifically developed for the treatment of treatment-resistant depression.

The active ingredient takes a different approach than traditional antidepressants. Rather than primarily influencing neurotransmitter levels, BPL-003 is designed to promote synaptic plasticity in the brain and support the formation of new neural connections. The goal is to address the biological causes of severe depression.

According to the company, BPL-003 demonstrated rapid and long-lasting improvements in depressive symptoms in a Phase 2b study. The program has already received Breakthrough Therapy designation from the U.S. Food and Drug Administration (FDA) and is in the preparatory stages for Phase 3 development.

Additional Pipeline Strengthens Lilly’s Neuroscience Portfolio

In addition to BPL-003, Lilly is acquiring other development programs from AtaiBeckley. These include VLS-01, a DMT-based buccal film therapy for treatment-resistant depression, which is currently in a Phase 2b trial.

In addition, AtaiBeckley is working on EMP-01, an MDMA-based therapy for social anxiety disorder, as well as a research platform for non-hallucinogenic compounds to treat mental health conditions.

With this acquisition, Lilly gains access to one of the most comprehensive development platforms for novel neuroplastogenic compounds.

Total transaction value of up to $3.8 billion

AtaiBeckley shareholders will receive $6.75 per share in cash. In addition, there are so-called Contingent Value Rights (CVRs) worth up to $2.50 per share, provided that defined clinical and regulatory milestones for the BPL-003 and VLS-01 programs are met.

The immediately payable purchase offer values AtaiBeckley at approximately $2.8 billion and represents a premium of about 40 percent over the average stock price over the past 30 trading days. If all milestones are met, the total value of the transaction will increase to approximately $3.8 billion.

Strategic Expansion of the Psychiatry Pipeline

With this acquisition, Lilly is consistently continuing its expansion in the field of innovative neuroscience. The company is thus responding to the significant unmet medical need for treatment-resistant depression, for which only limited treatment options are currently available.

If the novel active ingredients are validated in the ongoing studies, they could usher in a fundamental shift in the treatment of severe mental illnesses—moving away from purely symptomatic treatment toward therapies that directly target the biological causes of the disease.
